1. Acceptance of these Terms

By creating an account, joining the waitlist, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

2. Who can use Todo Buddy

You must be at least 13 years old (or the minimum age of digital consent in your country) to use Todo Buddy. If you are under the age of majority where you live, you may only use the Service with the involvement and consent of a parent or guardian. By using Todo Buddy you represent that you meet these requirements.

3. Your account

• You agree to provide accurate information and to keep it up to date.
• You are responsible for keeping your login credentials secure and for all activity that happens under your account.
• Notify us promptly at hello@nudge.app if you suspect unauthorized use of your account.

4. The beta service

The Service is provided during beta on an “as is” and “as available” basis. Features may change, break, or be added or removed at any time, and access is rolled out to waitlist members in batches. We do not guarantee uninterrupted availability, and beta data may occasionally be reset.

5. Subscriptions, billing & cancellation

• Free — available at no cost, with a limited set of tasks and characters.
• Pro — $3.99 per month, billed in advance, unlocking unlimited tasks, the full character cast, custom characters, shared buddies, and calendar sync.
• Paid subscriptions are processed by the Apple App Store or Google Play. They renew automatically each period unless cancelled at least 24 hours before the end of the current period.
• You can manage or cancel your subscription in your app store account settings. Refunds are handled according to the applicable app store’s policies.
• Beta pricing is locked in for early adopters but may change for new subscribers with reasonable notice.

6. Acceptable use

When using Todo Buddy, you agree not to:

• Break the law or infringe anyone’s rights;
• Upload content you do not have the right to use, or that is harmful, abusive, or unlawful;
• Attempt to disrupt, reverse-engineer, scrape, or gain unauthorized access to the Service;
• Resell or commercially exploit the Service without our written permission.

7. Your content

You keep ownership of the tasks you create and any photos you upload to generate custom characters (“Your Content”). You grant Todo Buddy a worldwide, non-exclusive license to host, store, and process Your Content solely to operate and improve the Service. You are responsible for ensuring you have the rights to any image you upload.

8. Our content & characters

The Service, including its software, characters, illustrations, animations, and branding, is owned by Todo Buddy and protected by intellectual-property laws. We grant you a personal, non-transferable, revocable license to use them within the app. You may not copy, redistribute, or create derivative works from our characters or artwork.

9. Custom characters & generated images

When you create a custom character, we generate illustrations based on your input. Generated images are provided for your personal use within the Service. We may apply reasonable limits to generation to keep the Service running smoothly.

10. Third-party services

Todo Buddy may integrate with third-party services such as app stores, calendars, and reminder systems. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

11. Wellbeing disclaimer

Todo Buddy uses gentle, character-driven motivation to help you follow through on tasks. It is not medical, psychological, or professional advice and is not a substitute for professional help. You can adjust the intensity of scenes at any time or switch a buddy to encouragement-only mode. If a deteriorating scene ever causes distress, please dial it back or stop using that feature.

12. Disclaimers

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law, Todo Buddy will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, profits, or goodwill, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the 12 months before the claim.

14. Termination

You may stop using Todo Buddy at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will continue to apply.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email. Continued use of the Service after changes take effect means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the jurisdiction in which Todo Buddy Labs is established, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction, unless mandatory local law provides otherwise.
